- Move to suspend the Bylaws requirement (Article 6, Section 5) requiring that the nomination committee be appointed at least 90 days before the election.

December 11, 2000 - nominating committee report due
December 18, 2000 - ballots mailed
January 18, 2001 - ballots returned
January 31, 2001 - 1st Board meeting
- Move to confirm instructions to nominating committee.

Library of California Board Meeting, November 9-10, 2000, Santa Clara (Pritchard/Segel)
- Budget allocation (January - June, 2001) $361,000
- 36 members approved by Library of California Board to date (VCCCD is being considered 1 member rather than 3 at this time). To see a list of charter members, click http://goldcoastlibraries.org/chartermembers.htm.
- Additional members can be added through December 31, 2000 - Nonprofit Support Center of Santa Barbara County and Saint John's Seminary and College applications faxed to Library of California.

INCORPORATION PROCESS

Set date for meeting with lawyer (Sifuentes/Stough/Segel)

Steps for incorporation from lawyer, Wil Freeman.
- File Articles of Incorporation.

Submit California Application for Nonprofit Status to the Franchise Tax Board - this can take 3-6 months to be approved but is retroactive to the date the Articles of Incorporation are filed. This application should include:
- Bylaws
- Proposed budget showing income sources and expenses for the first year of operation
- Concise statement describing specific purposes for which the organization is being formed
- Longer statement describing in detail the programs and activities the organization will conduct and how it will accomplish its specific purposes
- Details of fundraising activity and each business enterprise in which the corporation plans to engage with other parties, if any
- Leases for property (such as offices, equipment or furniture), if any
- Samples of literature the corporation plans to distribute including fundraising advertisements
- Once the California Application is approved, file similar application with Internal Revenue Service.

College District review (Condos-Tichauer) - the State Library is reviewing the issue of Community College Districts.
Suggested motion: move to delete district and replace with college as follows: Article 4, Section 2B2. "Community Colleges. One representative from each College (the Library Department Chair, the Library Director or designee.)"
Alternative 1: Defer consideration until Library of California has spoken to the issue.
Alternative 2: Write letter to Library of California Board expressing our position.

GRANTS

- Videoconferencing. The host libraries have signed videoconferencing agreements. ISDN lines have been installed at all locations. Santa Maria and Ventura have PolyCom Viewstations. - Electronic Status Analysis. Proposals have been received and are being reviewed by the committee. Selected vendor will be announced at the Network Council meeting.
